These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ClickUp ("Company," "we," "us," or "our") governing your access to and use of the ClickUp platform, including our website, desktop applications, mobile applications, browser extensions, APIs, and all related services (collectively, the "Service"). By creating an account, downloading our application, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
To use ClickUp, you must be at least 16 years of age and have the legal capacity to enter into a binding agreement. If you are under the age of majority in your jurisdiction, you must have verifiable consent from a parent or legal guardian. By using the Service, you represent and warrant that you meet these eligibility requirements. ClickUp reserves the right to refuse service to anyone for any reason at any time, and to terminate accounts that violate these Terms or any applicable laws.
To access most features of ClickUp, you must create an account by providing accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to immediately notify ClickUp of any unauthorized use of your account or any other breach of security. ClickUp is not liable for any loss or damage arising from your failure to maintain the security of your account. You may not share your account with others, create accounts on behalf of someone else without their permission, or use another person's account without authorization.
ClickUp is an all-in-one productivity and project management platform that provides tools for task management, document collaboration, goal tracking, time tracking, workflow automation, team communication, whiteboarding, dashboards, reporting, and artificial intelligence features. The Service is available through web browsers, desktop applications (Windows, macOS, Linux), mobile applications (iOS, Android), and browser extensions. ClickUp continuously develops and improves the Service. We may add, modify, or remove features at our discretion, with reasonable notice for material changes that affect your existing workflows.
ClickUp offers a "Free Forever" plan that provides access to core features at no cost. The Free plan includes unlimited tasks, unlimited members within your workspace, 100MB of file storage, and access to the web, desktop, and mobile applications. The Free plan is subject to certain usage limitations and may not include all features available on paid plans. ClickUp reserves the right to modify the features and limitations of the Free plan at any time.
ClickUp offers several paid subscription tiers — including Unlimited, Business, and Enterprise plans — that unlock additional features, increased storage, priority support, and advanced administrative controls. Paid subscriptions are billed on a monthly or annual basis, as selected by you at the time of purchase. Annual subscriptions provide a discounted rate compared to monthly billing. All prices are displayed in US dollars unless otherwise specified and are exclusive of applicable taxes.
By subscribing to a paid plan, you authorize ClickUp to charge your designated payment method on a recurring basis at the applicable subscription rate. If your payment method fails, we will attempt to charge it again and may suspend your access to paid features until payment is successfully processed. You are responsible for all fees incurred under your account, including any applicable taxes.
You may cancel your paid subscription at any time through your account settings. Upon cancellation, you will continue to have access to paid features until the end of your current billing period, after which your account will revert to the Free plan. ClickUp does not provide prorated refunds for partial billing periods. Annual subscriptions are eligible for a full refund within 30 days of initial purchase if you are not satisfied with the Service.
You retain all ownership rights to the content and data you create, upload, or store in ClickUp ("Your Content"). ClickUp does not claim any ownership interest in Your Content. These Terms do not grant us any rights to Your Content except the limited rights necessary to provide the Service.
By using the Service, you grant ClickUp a limited, non-exclusive, worldwide, royalty-free license to host, store, transfer, display, perform, reproduce, and modify Your Content solely as necessary to provide and improve the Service. This license exists only for the duration of your use of the Service and terminates when Your Content is deleted from our systems.
You can export Your Content from ClickUp at any time using our built-in export features or API. We support export in commonly used formats to ensure you are never locked in to our platform. Upon account termination, we will retain Your Content for a reasonable period (typically 90 days) to allow you to retrieve it, after which it will be permanently deleted.
You agree to use ClickUp only for lawful purposes and in accordance with these Terms. You may not use the Service to violate any applicable local, state, national, or international law or regulation; infringe upon or violate the intellectual property rights or privacy rights of any third party; transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable; distribute malware, viruses, or any other malicious code; attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service; interfere with or disrupt the Service or the servers and networks that host the Service; use the Service for unauthorized commercial solicitation, spam, or phishing; scrape, crawl, or use automated means to access the Service without our written consent; or circumvent, disable, or otherwise interfere with any security features of the Service.
The ClickUp Service, including all software, designs, text, graphics, logos, icons, images, audio, video, and the arrangement thereof, is owned by ClickUp and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. The ClickUp name, logo, and all related product and service names, designs, and slogans are trademarks of ClickUp. You may not use these marks without our prior written permission. Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property except the limited license to use the Service as described herein.
ClickUp integrates with numerous third-party services and applications, including but not limited to Slack, Google Workspace, Microsoft Teams, GitHub, GitLab, Figma, and many others. Your use of these integrations is subject to the respective third party's terms of service and privacy policy. ClickUp is not responsible for the practices, content, or availability of third-party services. We provide integrations "as is" and make no warranties regarding their functionality or reliability. Enabling an integration may require you to grant ClickUp access to your data on the third-party service; you control this access and can revoke it at any time.
ClickUp offers AI-powered features, including ClickUp Brain, which provide writing assistance, task summarization, automated workflows, and other intelligent capabilities. AI features are provided as productivity aids and their outputs may not always be accurate, complete, or suitable for your specific needs. You are responsible for reviewing and validating any AI-generated content before relying on it. ClickUp does not use Your Content to train general-purpose AI models unless you explicitly opt in to such use. AI features may be subject to additional terms and usage limitations based on your subscription plan.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLICKUP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLICKUP, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. IN NO EVENT SHALL CLICKUP'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID CLICKUP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless ClickUp and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any applicable law or regulation, or your violation of any third party's rights.
You may terminate your ClickUp account at any time through your account settings. ClickUp may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, engagement in fraudulent or illegal activities, extended periods of inactivity, or non-payment of fees. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration taking place in San Diego, California. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
ClickUp reserves the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' advance notice by posting the updated Terms on our website and, where appropriate, sending notification to the email address associated with your account. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree with the modified Terms, you must discontinue use of the Service before the changes take effect.
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ClickUp regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. ClickUp's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. You may not assign or transfer your rights under these Terms without our prior written consent. ClickUp may assign its rights and obligations under these Terms without restriction.
